GeneLife CONNECT Terms and Conditions

This Terms and Conditions (T&C) apply to " GeneLife CONNECT" (hereinafter referred to as the "Service") provided by Genesis Healthcare Co. (hereinafter referred to as the "Company"). Before using this Service, please read these T&C and agree to the contents.

 

Article 1 (Application of T&C)

  1. These T&C set forth the terms and conditions under which the Company provides the Service to the Use of the Service (User).
    2. Regarding this Service, in addition to these T&C, other terms and conditions such as consent forms, privacy policies, attached explanatory documents, etc., for the genetic testing services provided by the Company, other terms and conditions regarding the use of the Service, and other guidelines apply in addition to these T&Cs.
    3. As User uses this service, the User is deemed to have agreed to these terms.
    4. To use this service, the User must be at least 18 years old.
  2. Please refer to the attachment for specific details of the Service.

 

Article 2 (User Registration)

  1. User can subscribe to the Service by registering the necessary information using the method specified by the Company.
    2. User must notify the Company of accurate and up-to-date information regarding registered matters and payment information.
    3. If there are any changes to the registered details, the User shall promptly notify the Company of such changes.
    4. The Company shall not be held responsible even if the User suffers any damage or disadvantage due to incorrect or falsely registered information or failure to notify the change of contents.

 

Article 3 (Management of ID and password)

  1. When a User registers for use, the Company will issue an ID and password.
    2 User shall strictly manage and store the ID and passwords and shall not allow any third party to use them by leasing, transferring, buying or selling, or in any other way. The Company shall not be held responsible for any damage or disadvantage suffered by the User due to insufficient management of ID or password.
  2. If the User loses or forgets the ID or password, or if it is discovered that they are being used by a third party, the User shall immediately notify the Company.
    4 The Company shall regard all use of this service by the ID and password issued to the User as the act of the User himself/herself, regardless of whether the use is genuine or not, or the User be responsible for such act. The User shall bear all responsibility resulting from this.

 

Article 4 (Purchase or use of GeneLife CONNECT, etc.)

  1. When a User intends to purchase or use products/service, digital content, or services provided through GeneLife CONNECT (hereinafter referred to as the "Products/Service"), User must purchase or use the Products/Service Products/Service in accordance with the method specified by the Company.
    2. When applying under the preceding paragraph, the User confirms the information entered and the application details, clicks the button to confirm the application, and when the Company receives the application, the purchase or use of the Products/Service with the Company shall be concluded. A contract related to this shall be concluded.
    3 Notwithstanding the provisions of this article, if there is a violation of the T&C regarding the use of this Service, the Company may cancel the contract, claim compensation for damages, or take other measures that the Company deems appropriate. The Company shall not be liable for any damage or disadvantage suffered by the User as a result of such measures, unless the damage or disadvantage is due to the Company's intention or gross negligence.

 

Article 5 (Payment method)

  1. User shall pay the price for the Products/Service displayed in the purchase procedure of the Products/Service in the preceding article.
    2. The payment method for Products/Service shall be the method provided during the purchase procedure or the payment method separately approved by the Company.
    3. In the case of payment by credit card, the User shall comply with the terms and conditions separately entered by the User with the credit card company. If any dispute arises between the User and the credit card company in connection with the use of the credit card, the User shall resolve the dispute at his or her own responsibility and expense.

 

Article 6 (Ownership and Risk)

Ownership of the product shall transfer to the User at the time the company or a third party affiliated with the company delivers the product to the delivery company, and risk regarding the product shall pass to the User at that point.

 

Article 7 (Use of Content)

If the subject of the application is digital content, the digital content will be available for use after a contract for the use of the digital content is established. User is responsible for any loss, destruction, or damage to downloaded materials. For the avoidance of doubt, intellectual property rights such as copyrights related to digital content are not transferred to User.

 

Article 8 (Return/exchange of Products/Service)

Regarding this service, we do not accept returns or exchanges of Products/Service except in the following cases.
1. In the event of a defect or defect in the Products/Service
In this case, the Company shall be notified by the method specified by the Company within 8 days after the genetic testing kit arrives.
2. In other cases, determined by the Company. The Company will publish the method on the Company's website, etc.

Article 9 (Disclaimer regarding Products/Service)

  1. The Company's liability regarding the quality, function, performance, compatibility with other goods, and other defects of products sold through this service is limited to those specified in the preceding article, except in cases where it is caused by the Company's intentional or gross negligence.
  2. The Company does not provide any warranties, including but not limited to, performance, reliability, fitness, legality, usefulness, completeness, accuracy, up to date of photos and comments posted on the website of the Service for any purpose.

 

Article 10 (Regular purchase)

  1. GeneLife CONNECT plans are billed annually. User will be billed on a recurring basis before each subscription period.
    2. At the end of each subscription period, unless the User or the Company cancels the subscription, the subscription will be automatically renewed under the same conditions.
    3. If the subscription bill is not paid for any reason, the Company may immediately stop providing the Service to the User concerned.
    4. The Company may freely modify subscription and other fees at any time. Subscription price modifications will be applied at the time of your next subscription period renewal.
    5. Before changing the price of a subscription, the Company will send a notice in advance to give the User an opportunity to decide whether to continue the subscription.
    6 If the User continues to use this service after the change in the subscription fee, the User will be deemed to have agreed to the change in the subscription fee.
    7. Paid subscription fees will not be refunded except as mandated by law.

 

Article 11 (Intellectual property rights and content)

Intellectual property rights, including copyrights, and all other rights regarding all materials that make up this service belong to the Company or a third party that owns the rights. User shall not acquire any rights to any materials on this service and shall not take any action that infringes on the rights to the materials without the permission of the rights holder. Permission to use the Service based on the T&C does not mean a license to use the rights of the Company or any third party that owns such rights regarding the Service.

 

Article 12 (Notice to User)

The Company, from time to time, sends e-mail newsletters and push notifications on smartphones, etc., to inform User of the latest information and recommendations on services provided by the Company.

 

Article 13 (Changes, additions, and suspension of service content)

The Company may change, add to, or suspend all or part of the content of the Service without prior notice to the User, and the User shall consent to this in advance.

 

Article 14 (Personal information)

The Company will appropriately handle personal information obtained through the use of this service by User in accordance with our privacy policy.

 

Article 15 (Prohibited matters)

  1. User may not perform the following:
    (1) Acts that interfere with the operation of this service, or that are likely to do so
    (2) Acts that interfere with the use of this service by other users
    (3) Acts that infringe on copyrights and other rights related to this service
    (4) ) Acts that infringe on the rights or interests of the Company, other users, or third parties (including, but not limited to, honor rights, privacy rights, and copyrights)
    (5) Violating public order and morals and other laws and regulations . (6) Acts that violate the T&C
    (7) In addition to the preceding items, acts that the Company deems inappropriate in view of the purpose of this service
    2. If the Company determines that an act specified in the preceding paragraph has been committed by User, the Company may suspend the use of all or part of the Service without prior notice to the User or take other measures that the Company deems necessary and appropriate. The Company shall not be responsible for any damage or disadvantage caused to the User due to the measures set forth in this section.

 

Article 16 (Exclusion of anti-social forces)

The User represents and promises the following to the company;
(1) The person, i.e., the User, is not an organized crime group, a company affiliated with an organized crime group, a corporate racketeer, a person equivalent to these, or a member thereof (hereinafter collectively referred to as "antisocial forces").
(2) In case of an entity, the entity’s officers (meaning employees who execute business, directors, executive officers, or persons equivalent to these) are not antisocial forces.
(3) Do not allow anti-social forces to use your name to enter into this agreement.
(4) Do not engage in the following acts yourself or by using a third party.
 ① Acts that use threatening words or behavior or violence against the other party
 ② Unreasonable demands that exceed legal responsibility
 ③Acts that interfere with the other party's business or damage the trust of the other party by using fraudulent means or force

 

Article 17 (Disclaimer)

  1. In the event that all or part of the Service is suspended, interrupted, or delayed due to natural disasters, war, acts of terrorism, riots, labour disputes, epidemics, the enactment, amendment, or abolition of laws, intervention by government agencies, or other force majeure, the Company shall not be responsible for any damage or disadvantage caused to User.
    User understand that all or part of the Service may be stopped, interrupted, or delayed due to communication line or computer failures, system maintenance, or other reasons. Company is not responsible for any damage or disadvantage caused by such. Furthermore, the Company is not responsible for any damage or disadvantage caused by the User's usage conditions.
    3. The Company does not guarantee the following, neither explicitly or implicitly:

(1) The usefulness, completeness, accuracy, currency, reliability, and suitability for specific purposes of the content of this Service and the information provided through this Service.
(2) The information provided through this Service does not infringe on the rights of third parties.
(3) The Service will continue to exist in the future.

  1. Regardless of the reason, if all or part of data, etc., is damaged, or falsified, the Company shall not be obligated to restore it. The Company shall not be responsible for any damage caused to User or third parties.
    5 If the Company is liable to the User in connection with the User's use of the Service, the Company shall not be liable for compensation in excess of the amount of consideration paid by the User to the Company in the past 12 months. Furthermore, we shall not be liable for any incidental damages, indirect damages, special damages, future damages, or damages related to lost profits.
    6 Notwithstanding other provisions of this article, this disclaimer does not apply, if the contract between the Company and the User regarding this Service constitutes a consumer contract as stipulated in the Consumer Contract Act, and the issue is caused by the Company's intentional or gross negligence.

 

Article 18 (Confidentiality)

When using this service, the User must not disclose or leak any information disclosed or learned from the Company to a third party and must not use it for any purpose other than using this service as intended by the Service.

 

Article 19 (Notice from the Company)

1 When the Company notifies User, it will do so by sending an e-mail to the e-mail address registered by the User, by posting on the website related to the Service, or by any other method that the Company deems appropriate.
2. When the Company issues a notice, if it is sent to the e-mail address set forth in the preceding paragraph, the Company's notice will be deemed to have reached the User once it is recorded on the e-mail server of the provided e-mail address.
3. User shall promptly notify the Company if there is a change in the e-mail address mentioned in Paragraph 1. Any notices sent by the Company to the e-mail address before the change prior to receiving notification of changes in this section shall be deemed to have reached the User at the time of sending.
4. The Company shall not be held responsible for any damage or disadvantage caused to the User due to the User's failure to provide proper notification set forth in the preceding paragraph.

 

Article 20 (Disputes with third parties)

  1. Disputes that arise between User and third parties in connection with this service shall be resolved by the User at the User’s own expense and responsibility, and the Company shall not be responsible for any such disputes.
    2. If the Company incurs damages (including attorney's fees) in connection with the preceding paragraph, the User shall reimburse for such damages.

 

Article 21 (Prohibition of transfer of rights and obligations)

The User shall not assign, transfer, set a security interest in, or otherwise transfer all or part of the contractual status based on the T&C and the rights and obligations arising therefrom to a third party without the prior written consent of the Company.

 

Article 22 (Severability)

If any provision of the T&C violates the laws and regulations applicable to a contract based on the T&C with the User and is invalidated, such provision shall not apply only to the extent of such violation. In such case, the validity of the other provisions of the T&C shall not be affected.

 

Article 23 (Changes to the T&C)

If necessary, the Company may amend the T&C pursuant to Article 548-4 of the Civil Code of Japan (Changes to Standard Terms and Conditions). In the event that the T&C is amended, the Company shall determine the effective date and notify the following matters by e-mail or by other means by the effective date.
(1) The fact that the T&C will be changed
(2) The contents of the T&C after the change
(3) Effective date

 

Article 24 (Governing law and jurisdiction)

1 The governing law of the T&C is Japanese Law.
2. Regarding the resolution of disputes that arise between the Company and the User regarding this Service, the User agrees to submit to the exclusive jurisdiction of the Tokyo District Court.

 


 

(Attachment)

Specific details of GeneLife CONNECT(subscription):

 

Your subscription to the Services (as defined as GeneLife CONNECT) and purchase of a GeneLife genetic test from Genesis Healthcare Co. are subjects to these Subscription, Renewal and Cancellation Terms.

GeneLife CONNECT Service is only for individuals of 18-year-old or above.

Subscriptions:

There are various subscription and payment options available for using the Services:

GeneLife Haplo CONNECT

GeneLife Genesis CONNECT

GeneLife Haplo CONNECT Service includes the following:

A free genetic test

Purchase of the kit inclusive of a sample collection device and related shipping costs, charged at SGD 12 (twelve Singapore dollars) upon purchase date of the Service.

A 12-month non-cancellable subscription at SGD 12 (twelve Singapore dollars) per month, including:

Secure digital storage of raw DNA data and processing files

Updates and revisions of reference genotyping panels and annotations

Continuous access to DNA results, maintenance of application and web reporting platforms

Regular refresh and processing of relatives matches, and

Exclusive features for Genesis Haplo CONNECT, including.

DNA Relatives Mapping

Haplogroup Health Associations

Family Tree Features (to be released)

Visualization of Shared DNA (to be released)

GeneLife Genesis CONNECT Service includes the following:

A free genetic test

A genetic test kit and a sample collection device (inclusive of related shipping costs), charged upon initial purchase of the Service at SGD 12 (twelve Singapore dollars).

12-month non-cancellable subscription at SGD 12(twelve Singapore dollars) per month, including:

Secure digital storage of raw DNA data and processing files

Updates and revisions of reference genotyping panels and annotations

Continuous access to DNA results, maintenance of application and web reporting platforms

Regular refresh and processing of relatives matches, and

Exclusive features for GeneLife Genesis CONNECT, including:

16 additional test items

These options may change from time to time at the sole decision of Genesis Healthcare Co. and without any notice.

Once your initial payment is processed, your 12-months non-cancellable subscription will begin on the same day of the following month and for the duration of the Service.

After 12-months, the subscription will be automatically renewed until its cancellation by the participant.

 

Participation and contribution to research:

By subscribing to the Service, you manifestly opt-in to participate in anonymized research and receive updates from the outcomes of these research initiatives. Genesis Healthcare Co. reserves the right to contact you in case of non-anonymized research for further consent in the future.

 

Genetic test:

Returning your sample:

It is strongly recommended that you return your sample to Genesis Healthcare for processing at your earliest convenience. Testing of samples may take 3 to 6 weeks from reception of the sample at the laboratory of Genesis Healthcare.

Extension of the subscription or discount of the subscription price are not available if the participant does not return the sample in due time. It is the sole responsibility of the participant to return the sample in due time.

If a participant does not return the sample within 3 months from the date of purchase, the subscription will be cancelled, and the payments received will not be refunded.

Retest of your sample:

In case of a retest of a sample, one-month subscription value will be credited back to the purchaser. Your credit will only be provided via the credit card you used to purchase the GeneLife CONNECT subscription. Please allow reasonable time for the credit to reach you.

Subscription Cancellations:

You may cancel your GeneLife CONNECT subscription after the end of the non-cancellable 12-months subscription by logging into your Subscription portal or by contacting us at info@genesis-healthcare.asia 15 days prior to the renewal.

For information on how to cancel a subscription purchased through the GeneLife mobile app, visit the Subscription section of the app and follow the required procedure with your selected app store.

If you cancel your GeneLife CONNECT subscription, you will not be able to access your DNA results after the expiry of the service.

Refund Process:

You have the right to withdraw and cancel your order for your GeneLife CONNECT subscription and receive a full refund, including shipping costs, at any time within 8 days of receiving your order.

Note that you will not be entitled to a full refund of the initial purchase if the genetic test kit and sample collection device have been opened, damaged, or used.

You may email us at info@genesis-healthcare.asia to cancel your order and request a refund. You will need to know your order number and kit ID when you call to cancel. Your order number is in the order confirmation email you received after placing your order.

Your refund will only be provided via the credit card you used to purchase the GeneLife CONNECT subscription. Please allow reasonable time for the credit to reach you.

If the participant does not return the sample within 3-months from the date of purchase, the subscription will be cancelled, and the payments received will not be refunded.

Payment default:

In the event of a payment default by credit card for your subscription Service, the following apply:

Notification: We will notify you promptly via the contact information provided in your account in the event of a payment default.

Grace period: You will be given a grace period of 30 days from the date of the failed payment to rectify the issue.

Payment update: During the grace period, you are required to update your payment information or resolve any issues with the existing payment method to ensure uninterrupted Services.

Service suspension: If payment is not rectified within the grace period, your subscription Service will be temporarily suspended until payment is successfully processed.

Account access: While your subscription Service is suspended, you may lose access to certain features or content associated with the Service.

Reactivation: Upon successful payment, your subscription Service will be reactivated, and access to all features and content will be restored.

Termination: If payment remains unresolved after 30 days from the initial suspension, your subscription may be subject to termination at our discretion.

Outstanding balances: You are responsible for any outstanding balances accrued during the period of suspension, and we reserve the right to pursue collection of unpaid fees.

Updating payment information: You can update your payment information at any time through your account settings to avoid future payment defaults.

Communication: It is your responsibility to ensure that your contact information, including email address and phone number, is accurate and up to date to receive notifications regarding payment issues.

Amendment: We reserve the right to amend these terms regarding payment default by credit card at any time, and any changes will be communicated to you through the email address associated with your account.

By continuing to use our subscription Service, you agree to abide by these terms regarding payment default by credit card.

 

To update payment information, please visit your subscription portal.

Unless otherwise stated in the terms of your subscription, the following terms will apply:

Gifting of a Subscription: The subscription is not transferrable, and no one should subscribe to the Service on behalf of someone else.

Family Plan Subscriptions: There is no family plan subscription available.

Pausing Your Subscription: There is no option available to pause your subscription.

Taxes and Fees: You will be responsible for all taxes, tariffs, and fees charged by other companies such as, but not limited to, mobile carrier fees, data plan charges, overdraft fees, credit card fees, and foreign transaction fees.
